These Terms of Service ("Terms") govern your access to and use of the TechSphereX platform, our website, and related services (together, the "Service") provided by Zultan Technologies ("Zultan," "we," "us," or "our"). Please read them carefully.
By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business, and "you" refers to that business. If you do not agree to these Terms, do not use the Service.
TechSphereX is a platform that unifies a business's sales, support, marketing, operations, and analytics into one system with a shared source of truth. Features, capabilities, and limits depend on the plan you choose and may change as we improve the Service.
You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that happens under your account. Notify us promptly if you believe your account has been accessed without authorisation. You must provide accurate information and keep it up to date.
You choose, for each area of the Service, whether your team operates it directly or whether the platform runs it autonomously within the rules you set. You are responsible for configuring these rules and for the outcomes of actions you authorise, whether taken by a person or automatically. The platform is designed to act only within the limits you define and to keep a record of the actions it takes.
You retain all rights to the data and content you put into the Service ("Your Content"). You grant us the limited rights needed to host, process, and display Your Content solely to provide and support the Service. You are responsible for Your Content and for having the rights and lawful basis to use it, including any information about your own customers. Our handling of personal information is described in our Privacy Policy.

We may suspend access to protect the Service, other users, or the public where we reasonably believe these Terms have been breached.
The Service, including its software, design, and content we provide, is owned by Zultan Technologies and protected by intellectual property laws. These Terms do not transfer any of our intellectual property to you beyond the limited right to use the Service. "Zultan Technologies" and "TechSphereX," together with our logos, are our trademarks and may not be used without our permission.
The Service may connect with third-party products at your direction. Your use of those products is governed by their own terms, and we are not responsible for them. Connecting a third-party product means you authorise the Service to exchange information with it as needed.
You may cancel your subscription at any time; your plan will remain active until the end of the current billing period, and fees already paid are non-refundable except where required by law. We may suspend or terminate access if you materially breach these Terms or fail to pay. On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period, after which we may delete it.
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.
To the fullest extent permitted by law, Zultan Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold Zultan Technologies harmless from claims, losses, and expenses arising out of your use of the Service, Your Content, or your breach of these Terms, except to the extent caused by our own wrongdoing.
We may update the Service and these Terms from time to time. When we make material changes to these Terms, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts located in Ottawa, Ontario will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under local law.
